Annual General Meeting in Atrium Ljungberg AB on 7 April 2014
At the Annual General Meeting in Atrium Ljungberg held on 7 April 2014 it was resolved to adopt the Annual Report for the financial year 2013. It was also resolved to discharge the members of the Board of Directors and the CEO from liability in respect of the financial year 2013.
The Meeting decided on a dividend to the shareholders in the amount of SEK 3.05 per share. The record date for the distribution is 10 April 2014 and dividend is expected to be paid via Euroclear Sweden AB on 15 April 2014.
The Meeting resolved that the Board of Directors shall consist of seven ordinary members without deputy members. It was resolved to re-elect the following members of the Board of Directors: Dag Klackenberg, Sune Dahlqvist, Thomas Evers, Anna Hallberg and Johan Ljungberg. Erik Langby and Simon de Château were elected as new members of the Board of Directors. Dag Klackenberg was re-elected as Chairman of the Board of Directors.
It was also resolved that the fees for the Board of Directors shall be in total SEK 1,600,000 of which SEK 400,000 shall be allocated to the Chairman and SEK 200,000 to each of the other members of the Board of Directors. The auditors shall be paid in accordance with approved invoices.
The Meeting resolved in accordance with the proposal presented by the Board of Directors on certain guidelines for remuneration of the senior executive of the Company.
The Meeting resolved that the Nomination Committee for the Annual General Meeting to be held 2015 shall consist of the five largest shareholders as of 30 April 2014. The members of the Nomination Committee will be announced on 13 June 2014 at the latest.
The Meeting resolved to authorise the Board of Directors under certain conditions, during the period up until the next Annual General Meeting, to resolve to transfer own Class B shares held by the Company.
